Terms of Sale

These Terms of Sale govern the sale of subscriptions and export credits for the Scenivia service, accessible at scenivia.com. They apply to the exclusion of any other document. Placing an order implies full and unreserved acceptance of these Terms of Sale.

1. Seller identity

The Scenivia service is published and sold by the sole trader identified in the Legal Notice, hereinafter "the Seller" or "Scenivia".

2. Definitions

  • Service: the Scenivia online software platform for AI-assisted motion design.
  • User / Customer: any person who creates an account and subscribes to a plan or purchases credits.
  • Consumer: any User acting for purposes outside their trade, business, craft or profession, within the meaning of the French Consumer Code.
  • Account: the personal space giving access to the Service.
  • Plan: the free access an Account starts on, or any paid subscription offered on the pricing page. Each paid plan is named there, with its price, its billing period and the credit allowance it carries.
  • Credit: a prepaid unit consumed by the paid actions of the Service, at the rate the credit scale states when the action is started. The scale is shown on the pricing page and in the interface before each paid action; an export costs 10 credits.
  • User Content: any URL, screenshot, image, text or brief supplied by the User to generate a video.
  • Output: the animated video composed by the Service from User Content.

3. Purpose and scope

These Terms of Sale set out the rights and obligations of the parties in connection with the online sale of Scenivia subscriptions and credits.

4. Account and eligibility

Purchasing a subscription or credits requires an Account. Account creation, eligibility (including the minimum age) and the User's credential and security obligations are set out in the Terms of Use. The Seller may refuse or close any Account that breaches these Terms of Sale.

5. Service, plans and credits

The Service lets the User compose a scene-editable animated launch video from a URL, screenshots or a short brief, preview it live, and export it as an HD MP4 file.

Subscriptions:

  • Free access: every Account starts here, with the credit balance and the limits described on the pricing page, including daily limits on the free tools. Credits are obtained by purchasing a plan or a credit pack, or through the referral programme.
  • Paid plans: the pricing page lists the plans that can be ordered and, for each, its name, its price, its billing period and the recurring credit allowance it carries. A plan shown there with no way to order it is not on sale. Each plan's card states what it includes, among them driving the Service from an AI agent through MCP on the Pro and Max plans, and the fair-use ceiling of the Max plan's monthly credits. The plan ordered, its billing period and its total price are restated in the order summary before payment.

Credits:

  • Paid actions draw on the credit system defined in Section 2, at the cost the credit scale states when the action is started: an export costs 10 credits, and creating a film or an additional voice-over costs the amount the scale shows for it, when it shows one.
  • Credits are charged only once a paid action has succeeded; an action that fails is not charged, and an export that fails after being charged is credited back to the Account.
  • Credits may also be bought outright, without any subscription, through the one-time credit packs listed on the pricing page.
  • Credits are attached to the Account, are non-transferable and cannot be exchanged for cash.
  • If a credit pack purchase is refunded or successfully disputed, the credits it granted are withdrawn from the Account in full, and not in proportion to the amount refunded. Where part of those credits has already been used, the balance may become negative, and no export is possible until it is positive again.
  • Credits granted as a subscription allowance are valid until the end of the paid period they were granted for; any left unused on that date are forfeited, including after a cancellation. Credits bought as a pack never expire. On export, the credits closest to expiry are spent first.

The characteristics of the subscription and of each credit pack, including their price and the number of credits they carry, are presented on the pricing page before the order is confirmed. Minor differences between the live preview and the exported file, inherent to automated video generation, do not constitute a defect.

6. Prices

Prices are shown in euros and are those displayed on the pricing page at the time the order is validated. The Seller may change its prices for the future. The price applicable to a subscription is the one in effect when the order is placed; a new price applies to a renewal only where the User has been informed of it a reasonable time before the renewal date, so that they can cancel free of charge before it takes effect. Any applicable taxes are stated at checkout.

7. Order process

An order is placed through the following steps: selection of a plan or credit pack, review of the order summary and price, acceptance of these Terms of Sale, and payment. The sale is formed only once payment is confirmed. The Seller reserves the right to refuse any order that does not comply with these Terms of Sale.

8. Payment and provision of access

Payment is due immediately at the time of the order and, for subscriptions, at the start of each renewal period. Payment is processed through a secure third-party payment provider. Card details are transmitted in encrypted form and are never stored by the Seller. Access to the paid features is a supply of digital content and online services that begins as soon as payment is confirmed, and the corresponding credits become available on the Account at that time.

9. Subscription duration, renewal and changes

Paid subscriptions run for the period indicated at checkout and renew automatically for successive periods of the same length, unless cancelled before the renewal date. Cancelling, changing the payment method and viewing invoices are self-service: the User opens the billing portal from the Billing page of their Account, and needs no request to the Seller to do any of them. Cancellation stops future renewals and takes effect at the end of the current paid period; access is maintained until then. Credit packs are one-time purchases: they carry nothing to renew or cancel. No pro rata refund is granted for a period already started, subject to the withdrawal right in Section 10, the refund guarantee in Section 11 and the legal guarantees in Section 12.

10. Right of withdrawal

Consumers have a period of fourteen days to withdraw from a distance contract, in accordance with Articles L221-18 et seq. of the French Consumer Code. The period runs from the day the contract is concluded, which is the day payment is confirmed. To withdraw, the Consumer states that decision unambiguously, before the period expires, through the contact form at https://scenivia.com/contact or by any of the other means listed in Section 16.

The Service consists of digital content and online services supplied immediately. Where the User is a Consumer and expressly requests that provision begin before the end of the withdrawal period and acknowledges the loss of the right of withdrawal, the right of withdrawal is waived for the service already performed and for any credit already consumed, pursuant to Article L221-28 of the French Consumer Code.

The right of withdrawal does not apply to Users acting as professionals.

11. Refunds

Beyond the right of withdrawal set out in the previous Section, the Seller applies a voluntary refund guarantee to the first payment of a subscription. That first payment is refunded in full when all three of the following conditions are met:

  • no credit from the subscription has been used, whether by a successful export or by any other use that debited the balance;
  • the request is made within forty-eight hours of the payment being confirmed;
  • the subscription was not cancelled before the request.

Procedure: send your request through the contact form at https://scenivia.com/contact, stating the email address of your Account. Once these conditions are checked, the refund is made to the original payment method within fourteen days. It ends the subscription and removes from the Account the credits that had been granted.

This guarantee covers only the first payment of a subscription: it covers neither renewals nor credit packs, which are governed by Sections 5 and 9. It adds to the User's statutory rights without restricting them.

12. Legal guarantees

The Service is provided in accordance with the legal guarantee of conformity for digital content and digital services under Articles L224-25-12 et seq. of the French Consumer Code. Where supply is continuous, as it is for a subscription, that guarantee runs for the whole period of supply; where supply happens in one go, as it does for a credit pack, it covers a lack of conformity appearing within two years of supply. A Consumer may report any lack of conformity through the contact channels in Section 16. This guarantee applies independently of any commercial commitment.

13. Availability and maintenance

The Seller provides access to the Service on a best-efforts basis and may carry out maintenance, updates or improvements that temporarily suspend access. The Seller will make reasonable efforts to inform Users of significant planned interruptions.

14. Intellectual property

User Content: the User warrants that they own or hold the rights to all User Content and that it infringes no third-party rights. The User grants the Seller a non-exclusive, royalty-free licence to use the User Content solely to operate the Service and generate the Output.

Outputs: subject to full payment, the User may use the exported Output for their own commercial and non-commercial purposes.

Platform: no right over the Service itself, its software, interface or brand is transferred to the User; ownership of the Service is set out in the Legal Notice.

15. Acceptable use and user obligations

The User's acceptable-use obligations are set out in the Terms of Use. The Seller may suspend or terminate access in the event of a breach.

16. Customer service and complaints

Any question or complaint may be sent through the contact form at https://scenivia.com/contact, which routes it by subject (billing, support, security).

Before any dispute, the parties will seek an amicable solution.

17. Personal data

Personal data is processed in accordance with the GDPR and the French Data Protection Act, under the conditions set out in the Privacy Policy, which forms an integral part of these Terms of Sale.

18. Liability

The Seller cannot be held liable for the User's own fault or for the acts of third parties. Its liability is limited to direct, certain and foreseeable damage and excludes any indirect or immaterial loss. Force majeure is governed by Section 19.

This limitation applies only to Users acting as professionals. Nothing in this Section reduces a Consumer's right to compensation for any failure by the Seller to perform any of its obligations, and the Seller's liability is never limited in the event of gross negligence, wilful misconduct or personal injury.

19. Force majeure

Neither party is liable for any failure to perform caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code, including natural disasters, pandemics, network or hosting failures, and outages of third-party providers. Obligations are suspended for the duration of the event.

20. Partial invalidity

If any provision of these Terms of Sale is held invalid or unenforceable, the remaining provisions remain in full force and effect.

21. Amendment of the Terms of Sale

The Seller may amend these Terms of Sale. The version applicable to an order is the one in force at the time the order is placed. A change to the price, to the duration or to the essential characteristics of the Service is notified to the User a reasonable time before it takes effect, applies no earlier than the next renewal period, and the User may cancel free of charge before that date. Continued use of the Service after a change is published constitutes acceptance only where the change neither raises the price nor reduces the Service.

22. Governing law and jurisdiction

These Terms of Sale are governed by French law. In the absence of an amicable settlement, a Consumer may bring proceedings, at their choice, before a court having territorial jurisdiction under the French Code of Civil Procedure or before the court of the place where they resided when the contract was concluded or where the harmful event occurred, in accordance with Article R631-3 of the French Consumer Code. For Users acting as professionals, any dispute is subject to the jurisdiction of the competent French courts under ordinary rules of jurisdiction.
